Purchase Agreement
TERMS, LIMITED WARRANTY, AND PURCHASE CONDITIONS
The following terms are provided for informational purposes in connection with the quoted equipment, systems, accessories, and related services described in the applicable quote, proposal, or sales document. Final purchase terms may be supplemented, revised, or replaced by a fully executed purchase agreement, sales order, invoice, financing agreement, or other written contract.
1. Scope of Quote
Any quote, proposal, or sales document is limited to the equipment, accessories, components, services, and options expressly identified therein. Any items not specifically listed are excluded unless otherwise stated in writing. This may include, without limitation, freight, taxes, import duties, rigging, unloading, site preparation, electrical work, ventilation, utility connections, consumables, tooling, installation, commissioning, training, software, extended warranty coverage, and ongoing service plans.
2. Pricing and Availability
All pricing, specifications, availability, lead times, and configurations are subject to change without notice prior to final acceptance and execution of a binding purchase document. Equipment availability may depend on production schedules, inventory status, international logistics, customs clearance, and supplier timing.
3. Estimated Delivery
Any delivery, shipment, production, or installation timeline referenced in a quote is an estimate only and is not guaranteed unless expressly stated in a final written agreement. Estimated timelines may be impacted by manufacturing schedules, freight availability, customs processes, regulatory compliance, site readiness, subcontractor availability, and events beyond reasonable control.
4. Buyer Site Readiness
The purchaser is responsible for ensuring that the facility and site conditions are suitable for delivery, installation, commissioning, and safe operation of the equipment. This may include proper electrical service, voltage, grounding, ventilation, compressed air, gas supply, exhaust, water, structural support, floor conditions, access clearance, permits, internet connectivity, and operator readiness where applicable. Delays or costs caused by inadequate site readiness may result in additional charges and may affect delivery or startup timing.
5. Installation, Startup, and Training
If installation, startup, commissioning, training, or technical support are included, the scope shall be limited to what is expressly stated in the applicable quote or sales document. Unless specifically included in writing, these items are not assumed to be part of the sale. Remote support may be used where appropriate. The purchaser is responsible for providing a safe and suitable environment for installation and training.
6. Limited Warranty
The quoted equipment is generally offered with a twelve (12) month limited warranty from the date of delivery to the original purchaser, unless a different warranty period is expressly stated in writing for a particular machine, component, or manufacturer program.
This limited warranty applies only to defects in material or workmanship under normal and proper use. The warranty is non-transferable unless expressly approved in writing.
As the exclusive remedy under this limited warranty, the supplier or applicable manufacturer may, at its sole discretion:
- repair the defective item or component,
- replace the defective item or component, or
- refund the portion of the purchase price allocable to the confirmed defective item or component.
Warranty claims may require proof of purchase, model or serial information, and reasonable documentation such as photos, video, diagnostics, or usage details. Remote troubleshooting cooperation may be required prior to approval of any repair, replacement, return, or field service.
7. Warranty Exclusions
The limited warranty does not cover damage, deterioration, or failure resulting from:
- negligence, misuse, abuse, accident, or improper handling
- failure to follow operating instructions, maintenance schedules, safety requirements, or installation guidance
- improper power supply, unstable voltage, inadequate grounding, surges, or unsuitable site conditions
- unauthorized repair, modification, relocation, disassembly, or third-party service
- normal wear and tear
- cosmetic issues not affecting core functionality
- improper storage, transport, unloading, or rigging by others
- failure to operate the equipment safely
- environmental conditions, contamination, corrosion, fire, flood, theft, vandalism, or similar causes beyond normal operation
The limited warranty does not cover consumables or normal wear items unless expressly stated otherwise in writing. Consumables and wear items may include lenses, nozzles, filters, protective windows, tips, belts, seals, covers, lubricants, fuses, and similar components subject to ordinary use.
8. Shipping and Warranty-Related Costs
Unless otherwise agreed in writing, transportation, travel, lodging, labor, rigging, removal, reinstallation, and similar costs associated with inspection, service, or warranty review are not automatically included under the limited warranty. If a warranty claim is confirmed, the supplier may elect to cover certain approved shipping or replacement costs. If the claim is not confirmed or is excluded, those costs remain the responsibility of the purchaser.
9. Limitation of Liability
To the fullest extent permitted by applicable law, neither the supplier, distributor, nor manufacturer shall be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the quoted equipment, including without limitation lost profits, lost production, downtime, loss of use, delay damages, lost business opportunities, or the cost of substitute equipment or services.
Any obligation related to alleged defects or warranty claims shall be limited to the repair, replacement, or refund remedy described above, if applicable.
10. Intellectual Property and Confidentiality
All proposals, quotes, technical data, renderings, diagrams, images, specifications, pricing, configurations, and related materials provided in connection with the quoted equipment are proprietary and confidential. They are provided solely for evaluation of a potential transaction and may not be copied, disclosed, distributed, or shared with third parties except for internal review, financing review, insurance review, or legal review, unless otherwise approved in writing.
11. Force Majeure
Neither the supplier, distributor, nor manufacturer shall be responsible for delays or failures caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemics, labor disturbances, war, terrorism, civil unrest, embargoes, regulatory changes, customs delays, freight disruption, utility outages, communication failures, or supplier interruption. In such events, performance timelines may be reasonably extended and commercial terms may need to be adjusted accordingly.
12. Import, Export, and Regulatory Compliance
Certain equipment may be subject to import, export, customs, sanctions, or regulatory requirements depending on the equipment type, country of origin, and destination. Delays, costs, or limitations caused by compliance with such requirements are outside normal commercial control. Every reasonable effort will be made to comply with applicable laws and regulations, but final timing may be affected by these processes.
13. Use of Subcontractors and Third Parties
In connection with fulfillment, delivery, installation, training, service, logistics, or support, third-party manufacturers, freight carriers, subcontractors, technical service providers, and related partners may be used. Their involvement does not by itself alter the scope of the quoted sale.
14. Final Purchase Documentation
These terms are informational and intended to accompany quotes and proposals. Final sale terms may be subject to additional conditions contained in a purchase agreement, sales order, invoice, financing package, manufacturer warranty statement, installation addendum, or other definitive documentation executed at the time of purchase.
